These terms are an agreement between you and [Business legal name] ("REFocus", "we", "us"), an Arizona business based in Apache Junction, Arizona. By using REFocus (the website, app, drills, diagrams and preview links), you agree to these terms. If you don't agree, please don't use REFocus.

1. What REFocus is

REFocus is an independent training aid for football officiating mechanics. It is not affiliated with, endorsed by, or sponsored by any state association, conference, league or rules-making body.

You must be 18 or older to use REFocus.

2. A training aid, not a ruling authority

REFocus is for study only. It is not an official source of rules, interpretations or mechanics, and nothing in it overrides the rules, interpretations, mechanics and instructions issued by your governing body, your association or your crew chief. Always follow those on the field. Content may contain errors or fall behind rule or mechanics changes.

3. Access codes

Access is sold to officials associations, which give their members access codes. A code may unlock high school, college or all content. Shared links show a limited one-play preview without a code.

• Your code is for members of the association it was issued to. Don't post, sell, publish or share it with anyone outside that association.
• We may change, limit, expire or retire any code at any time, including when an association's access ends or a code appears to have been shared. Retiring a code ends sessions that used it.
• Fees, seasons and any refunds for associations are set by the separate order, invoice or agreement with that association.

4. Your license

While you have valid access, we give you a limited, personal, non-exclusive, non-transferable, revocable license to view and use REFocus for your own officiating training. Associations may also use it to teach their own members, for example at clinics and meetings, as their agreement with us allows.

5. What you may not do

• Copy, download, record, screenshot in bulk, reproduce, republish, sell, rent or redistribute REFocus's content, including plays, diagrams, animations, keys, drills and text.
• Scrape, crawl or use bots or automated tools to collect content or data from REFocus.
• Share, sell or publish access codes, or let people outside your association use your access.
• Get around, disable or probe the sign-in, access levels, rate limits or other security features, or try to reach content your code does not unlock.
• Reverse engineer, decompile or extract the app's code or data, except where the law expressly allows it.
• Use REFocus or its content to build a competing product or train another product.
• Overload, disrupt or harm the site, or use it for anything unlawful.

6. Who owns REFocus

REFocus and everything in it, including the plays, diagrams, animations, drills, text, design, software and the REFocus name and logo, are owned by [Business legal name] or its licensors and are protected by copyright, trademark and other laws. These terms do not give you any ownership. All rights not expressly granted are reserved. If you send us feedback or suggestions, we may use them without any obligation to you.

7. No warranty

REFOCUS IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NON-INFRINGEMENT. WE DON'T PROMISE THAT REFOCUS WILL BE ACCURATE, COMPLETE, CURRENT, UNINTERRUPTED OR ERROR-FREE, OR THAT USING IT WILL IMPROVE YOUR RATINGS, EVALUATIONS OR ASSIGNMENTS.

8. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, [Business legal name] AND ITS OWNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GAME ASSIGNMENTS, RATINGS OR OPPORTUNITIES, OR ANY OUTCOME OF A GAME OR RULING, ARISING FROM OR RELATED TO REFOCUS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO REFOCUS IS LIMITED TO THE GREATER OF (A) THE AMOUNT PAID TO US FOR THE ACCESS INVOLVED IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $100. Some places don't allow some of these limits, so they may not all apply to you.

9. Indemnity

If you break these terms or misuse REFocus and that leads to a claim against us, you agree to cover our reasonable losses and costs from that claim, to the extent the law allows.

10. Ending access

We may suspend or end your access, or retire a code, at any time if you break these terms, if your association's access ends, or if we stop offering REFocus. You may stop using REFocus at any time. Sections 5 through 12 continue to apply after access ends.

11. Changes

We may update REFocus and these terms. When we change the terms, we will update the effective date at the top, and for significant changes we will try to let associations know. Using REFocus after a change means you accept the updated terms.

12. Governing law and venue

These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. Any dispute related to these terms or REFocus will be brought only in the state or federal courts located in Maricopa County, Arizona, and you and we consent to those courts. If any part of these terms is found unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it. These terms, together with any agreement with your association, are the whole agreement about REFocus.
